Terms of Service
These Terms of Service ("Terms") govern access to and use of the 11River suite of legal technology products, provided by 11Insight ("11River," "we," "us"). By creating an account or using the service, you agree to these Terms on behalf of yourself and any organization you represent ("Customer," "you").
1. The service
11River provides software tools for legal notice, claims administration, settlement distribution, docket monitoring, legal research, and related work. We may add, change, or remove features over time. Some tools are offered on separate plans or pricing.
2. Accounts and organizations
- You must provide accurate information and keep your credentials secure. You are responsible for activity under your account.
- Workspaces are organized by organization. Administrators control who may join and what each member can do.
- You must be authorized to bind your organization and to upload any content you provide.
3. Customer data and ownership
As between the parties, you own the documents, records, and other content you submit or generate ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and support the service, and as otherwise permitted in these Terms and our Privacy Policy. You are responsible for the accuracy of Customer Data and for having the rights and permissions needed to process it, including personal information about claimants and class members.
4. Acceptable use
You agree not to:
- Use the service to violate any law or the rights of others.
- Upload malware or attempt to breach, probe, or disrupt the service or its security.
- Access another organization's data without authorization.
- Reverse engineer, resell, or build a competing product from the service except as permitted by law.
- Use the service to send unlawful, deceptive, or harassing communications.
5. AI features and no legal advice
Some features use AI to summarize, draft, answer questions, and model outcomes. AI output may be inaccurate or incomplete and can reflect the limits of its inputs. The service is a tool, not a law firm, and nothing it produces is legal advice or a substitute for the judgment of a qualified professional. You are responsible for reviewing and verifying any AI assisted work, court filing, notice plan, distribution model, or declaration before relying on or submitting it.
6. Fees and billing
- Paid plans are billed in advance on the cycle shown at checkout. Fees are non refundable except where required by law or expressly stated.
- We may change pricing on a going forward basis with reasonable notice.
- You are responsible for applicable taxes.
7. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or rightfully received from another source.
8. Third party services
The service relies on third party providers for hosting, identity, payments, communications, and AI capabilities, and may connect to tools you choose. Your use of third party services is governed by their terms, and we are not responsible for them.
9. Intellectual property
We and our licensors own the service, including its software, design, and trademarks. These Terms do not grant you any rights in our intellectual property except the limited right to use the service.
10. Disclaimers
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the service will be uninterrupted, error free, or that results will meet your requirements.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to the service will not exceed the amounts you paid us for the service in the twelve months before the event giving rise to the claim.
12. Indemnification
You will defend and indemnify us against third party claims arising from your Customer Data, your use of the service in violation of these Terms, or your violation of law or the rights of others, except to the extent caused by us.
13. Term and termination
These Terms apply while you use the service. You may stop using and cancel at any time. We may suspend or terminate access for material breach, non payment, or to protect the service or its users. On termination, your right to use the service ends, and you may export Customer Data for a limited period unless prohibited by law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Nevada, without regard to conflict of laws rules. The parties submit to the courts located in Nevada, unless an alternative venue or dispute process is agreed in writing. This section is a placeholder pending legal review.
15. Changes to these Terms
We may update these Terms from time to time. When changes are material, we will update the date above and, where appropriate, provide additional notice. Continued use after changes take effect means you accept the updated Terms.
